Terms of Service for LocalEnhance

1. Description of Service

LocalEnhance provides a local business management and marketing automation platform. Our software allows users to manage multiple third-party accounts (such as Google Business Profile, Facebook, Instagram, LinkedIn, and X) from a single interface, automate content posting, and manage channel inventory.

2. Accounts and Registration

To use certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and API credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

3. Third-Party Platforms

Our Service operates by integrating with third-party platforms (e.g., Google, Meta, X/Twitter). By using LocalEnhance, you acknowledge and agree that:

1. Availability: We do not control these third-party platforms. If a platform (e.g., X/Twitter) changes its API rules, revokes our access, or experiences downtime, LocalEnhance may be unable to provide certain features. We are not liable for any refunds or damages caused by such third-party interruptions.
2. Compliance: You are responsible for ensuring your content complies with the Terms of Service of every platform you publish to (e.g., Google Business Profile Policies, X User Agreement).
3. Bans/Suspensions: If your actions cause your accounts to be suspended or banned by a third-party platform, LocalEnhance is not liable.

4. User Content and License

You retain all rights to the text, images, and other data ("User Content") you upload to LocalEnhance. However, by uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, reproduce, and process your content solely for the purpose of providing the Service (e.g., formatting it for Instagram or sending it to Google).
• We will never sell your content to third parties.

5. Acceptable Use

You agree strictly not to use the Service to:

• Upload content that is illegal, harmful, threatening, or defamatory.
• Send spam or unsolicited bulk messages.
• Reverse engineer, decompile, or attempt to extract the source code of our software (including our proprietary "Antigravity" code).
• Overload our infrastructure or attempt to bypass our API rate limits.

6. Payment and Invoicing

• Fees: Services are billed according to the plan you select.
• Invoicing: Invoices will be issued by LocalEnhance (Reg: 6785011).
• Refunds: Unless required by Philippine law, all fees are non-refundable.

7. Intellectual Property

The LocalEnhance software, including its code, design, logos, and the "LocalEnhance" brand, are the exclusive property of Tony Hildén and LocalEnhance. Nothing in these Terms grants you the right to use the LocalEnhance trademark without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law:

• LocalEnhance is provided "AS IS" and "AS AVAILABLE" without warranties of any kind.
• We shall not be liable for any indirect, incidental, special, or consequential damages (including loss of data or profits) resulting from your use of the Service or the failure of any third-party API.

9. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Makati City, Philippines.
